Terms of Service
These Terms govern the services provided by Adyours, a sole proprietorship based in Gautam Buddha Nagar, Uttar Pradesh, India ("Adyours", "we", "us"), to clients ("you"). By engaging our services or signing a service agreement with us, you agree to these Terms. Where a signed service agreement and these Terms differ, the signed agreement prevails.
1. Services
We provide advertising management and technology services, which may include managing and optimizing campaigns on platforms such as Amazon Ads, Meta, and Google, and setting up messaging and reporting workflows. The specific scope, deliverables, and fees for your engagement are defined in your service agreement or proposal.
2. Account access and ownership
You authorize us to access your advertising and related accounts through each platform's official authorization process. You retain full ownership of your accounts, advertising data, creative assets, and customer data. We access them only to deliver the agreed services and only for as long as you keep that access active.
3. Advertising spend and platform billing
All advertising spend, messaging charges, and platform fees are billed directly to your payment methods on the respective platforms. We do not pay, front, or control your ad spend. Our fees for services are separate and set out in your service agreement.
4. Your responsibilities
- Provide accurate information and timely access needed to deliver the services.
- Maintain your own accounts in good standing, including active billing with the platforms.
- Ensure your products, claims, and creative comply with applicable laws and platform policies.
- Hold the necessary rights to any assets or content you provide to us.
5. Performance
We apply professional skill and care to improve advertising performance, but advertising results depend on many factors outside our control — including pricing, inventory, competition, and platform changes. We do not guarantee specific sales, revenue, rankings, or return figures.
6. Confidentiality
Each party will keep the other's non-public information confidential and use it only to perform under these Terms. This obligation continues after the engagement ends.
7. Data protection
We handle personal and business data in line with our Privacy Policy and applicable data-protection laws, including India's Digital Personal Data Protection Act where it applies. We process advertiser data solely to provide the services and never resell it.
8. Fees and payment
Service fees, billing cycle, and payment terms are set out in your service agreement. Unless stated otherwise, fees are exclusive of applicable taxes. Late payments may result in suspension of services after reasonable notice.
9. Term and termination
Either party may end the engagement as set out in the service agreement. On termination, we stop work, you may revoke our account access, and we return or delete credentials and access tokens as described in our Privacy Policy. Fees for services performed up to termination remain payable.
10. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential losses, and our total liability arising from the services is limited to the fees you paid us for the service in the three (3) months before the event giving rise to the claim. Nothing limits liability that cannot be limited by law.
11. Changes to these Terms
We may update these Terms from time to time. Material changes will be posted on this page with a revised "last updated" date, and continued use of the services means you accept the updated Terms.
12. Governing law
These Terms are governed by the laws of India, and the courts of Gautam Buddha Nagar, Uttar Pradesh, India have exclusive jurisdiction, unless your service agreement states otherwise.
